1. ACCEPTANCE OF TERMS
Neaju.com webpages ("Site"), are owned and operated by UGC Powered Media, Inc. ("Neaju"), a Texas corporation, and is accessed by you under the Terms of Use described below ("Terms of Use"). PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING OUR SERVICES. BY ACCESSING THIS SITE OR USING ANY PART OF THE SITE OR ANY CONTENT OR SERVICES (AS EACH IS DEFINED BELOW) ON THE SITE, YOU AGREE TO BECOME BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO ALL THE TERMS AND CONDITIONS, THEN YOU MAY NOT ACCESS THE SITE OR USE THE CONTENT OR ANY SERVICES IN THE SITE. NEAJU'S ACCEPTANCE IS EXPRESSLY CONDITIONED UPON YOUR ASSENT TO ALL OF THESE TERMS AND CONDITIONS, TO THE EXCLUSION OF ALL OTHER TERMS; IF THESE TERMS AND CONDITIONS ARE CONSIDERED AN OFFER BY NEAJU, ACCEPTANCE IS EXPRESSLY LIMITED TO THESE TERMS.
2. MODIFICATIONS
Neaju reserves the right, at its sole discretion, to modify or replace the Terms of Use at any time by posting its revised Terms of Use at the website. Material changes to the Terms of Use, as determined at the sole discretion of Neaju, shall require a click-through agreement prior to user story submission. You shall be responsible for reviewing and becoming familiar with the current terms of use anytime you submit a news story. Use of the Services by you constitutes your acceptance of the terms and conditions of the Terms of Use then posted.
3. DESCRIPTION OF SERVICE
Subject to full compliance with the Terms of Use, Neaju may offer to provide services and content, as described more fully on the Site, ("Services"). Services shall include, but not be limited to, any service and content Neaju provides, as well as the offering of any materials displayed or performed on the Site (including, but not limited to text, user comments, messages, information, data, graphics, news articles, photographs, images, illustrations, software, audio clips and video clips, also known as the "Content") on the Site. Neaju may change, suspend or discontinue the Services including any Content for any reason, at any time, including the availability of any feature or content. Neaju may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability.
4. REGISTRATION REQUIREMENTS
Registration is not required to access the Site, but may be required to access certain content and is required to submit news stories to the Site. In order to register, you must be at least thirteen (13) years of age, select a User ID and password, and provide accurate, complete, valid and verifiable contact information, which must be maintained. Failure to submit or maintain accurate contact information shall constitute a breach of the Terms of Use, which may result in immediate termination of your Neaju account. You may not (i) select or use as a User ID a name of another person with the intent to impersonate that person; (ii) use as a User ID a name subject to any rights of a person or corporation other than you without appropriate authorization; or (iii) use as a User ID a name that is otherwise offensive, vulgar or obscene. Neaju reserves the right to refuse registration of, or cancel a User ID in its discretion. You shall be responsible for maintaining the confidentiality of your password. Neaju may terminate or suspend any account immediately, without prior notice or liability, upon breach any of the terms or conditions of the Terms of Use. Upon account termination, your right to use the Services will immediately cease. All provisions of the Terms of Use related to material submitted, ownership, warranty disclaimers, indemnity and limitations of liability, shall survive termination.
5. MATERIAL SUBMITTED
As a condition of use, you promise not to use the Services for any purpose that is unlawful or prohibited by these Terms of Use, or any other purpose not reasonably intended by Neaju. By uploading, submitting, disclosing or otherwise distributing your material via our Site, for good and valuable consideration, the sufficiency and receipt of which you hereby warrant and acknowledge that you own all rights to the content submitted (unless source quoted), that the information is truthful and does not contain fabricated quotes, images or video. You further hereby grant to Neaju and its affiliates a non-exclusive, perpetual, worldwide license to edit, alter, transmit, telecast, rerun, reproduce, use, syndicate, license, sell, print, sublicense, distribute and otherwise exhibit the materials you submit, in whole or in part, as incorporated in any of programming or the promotion thereof, in any manner and in any medium or forum, whether now known or hereafter devised, without payment to you or any third party. You represent and warrant to Neaju that you have the full legal right, power and authority to grant to Neaju the license provided for herein, that you own or control the complete exhibition and other rights to the materials you submitted for the purposes contemplated in this license and that neither the materials nor the exercise of the rights granted herein shall infringe upon or violate the right of privacy or right of publicity of, or constitute a libel or slander against, or violate any common law or any other right of, any person or entity. You acknowledge and agree that by submitting your material you are not entering into an employment relationship with Neaju and that no relationship is created other than licensor/licensee. This license shall be governed by the laws of the State of Texas.
You agree to only submit stories that are original, accurate, unbiased, neutral and truthful, and not intended to promote a particular point of view, abuse, harass, threaten, impersonate or intimidate. If you are an international user, you agree to comply with all local laws regarding online conduct and acceptable content, including, without limitation, copyright laws. Although newsworthy corporate press releases are welcome, you agree not to use the Site to advertise or promote products or services, hype or pump equity in a corporate entity, distribute unwanted or unsolicited commercial offerings, or link to affiliate programs, multi-level marketing schemes. Neaju may refuse to publish or remove any Content and Neaju accounts at any time for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Content), or for no reason at all. 7. COPYRIGHT COMPLAINTS
Neaju will make efforts to respond expeditiously to claims of copyright and other intellectual property infringement. Neaju will promptly process and investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws. Upon receipt of notices complying or substantially complying with the DMCA, Neaju may remove or disable access to any material claimed to be infringing or claimed to be the subject of infringing activity and may remove or disable access to any reference or link to material or activity that is claimed to be infringing. Neaju will terminate access of account holders who are repeat infringers.
Notifying Neaju of Copyright Infringement: To provide Neaju notice of an infringement, you must provide a written communication to the attention of "DMCA Infringement Notification" care of abuse@Neaju.com that sets forth the information specified by the DMCA (http://www.copyright.gov/title17/92chap5.html#512). Please note that you may be liable for damages (including costs and attorneys' fees) if you materially misrepresent that an activity is infringing your copyright. If Neaju removes or disables access to content in response to an infringement notice, that the submitter believes does not constitute infringement, the original author may provide Neaju with a counter notification by written communication to the attention of "DMCA Counter Notification" at abuse@Neaju.com that sets forth all of the necessary information required by the DMCA (http://www.copyright.gov/title17/92chap5.html#512). The person providing DMCA notice shall be liable for damages (including costs and attorneys' fees) if an activity is materially misrepresented. If you are uncertain whether an activity constitutes infringement, we recommended seeking advice of an attorney. The liability of Neaju shall be limited to, and by its, compliance with the DMCA.
8. ACCURACY
By submitting a story, the submitter represents and warrants it to be non-biased, truthful and accurate. However, readers of the Site acknowledge that the Neaju initially has no control over the accuracy and the quality of information submitted, and therefore readers acknowledge and agree that Neaju is not responsible for the accuracy of the information published on its site and does not warrant its truthfulness. Site users further acknowledge that Neaju does not warrant the availability of external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products or other materials on or available from advertising that may be placed on the Site. You further acknowledge and agree that Neaju shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any Site content, or goods or services available via companies named or advertisements displayed on the site. Therefore, readers of this site hereby indemnify and hold harmless the Neaju for any information, links or any other form of communication available via the site.

You will indemnify and hold harmless Neaju, its parents, subsidiaries, affiliates, customers, vendors, officers and employees from any liability, damage or cost (including reasonable attorneys. fees and cost) from any claim or demand made by any third party due to or arising out of your access or submissions to the Site, use of the Services, violation of the Terms of Use by you, or the infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity.

Neaju has no control over, and no duty to take any action regarding, which users gain access to the Site; the effect of user-submitted Content; how Content is interpreted, used or perceived, or actions taken as a result of Content. IN NO EVENT SHALL NEAJU OR ITS SUPPLIERS BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR OTHER LEGAL THEORY (I) WITH RESPECT TO THE SITE, THE SERVICE OR ANY CONTENT FOR ANY LOST PROFITS OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, SUBSTITUTE GOODS OR SERVICES (HOWEVER ARISING), OR (II) FOR ANY DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) $100. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

All Neaju names, graphics, logos, designs, page headers, button icons, scripts, and service names are registered trademarks, trademarks, trade dress or copyrights of Neaju in the U.S. and/or other countries. Neaju's trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion.
14. RETRANSMISSION OF CONTENT
Licenses for commercial use of content may be obtained by contacting licensing@Neaju.com. Non-commercial use on blogs and sites not-for-profit personal sites not belonging to commercial news organizations or the agents or employees thereof is granted provided the information is attributed to "Neaju (www.neaju.com)."
